Duties and Powers of Board of Directors



Section 1

The Board of Directors shall conduct the business of the Organization in all respects, and in particular shall:
(a) Summon Meetings of the Board of the Organization and fix times and places of such meetings.
(b) Provide for, receive, and administer the funds and property.
(c) Removal of a Board Member from Office:
In the event that the general conduct of a Provincial board member, (hereinafter referred to as "the Member"), is deemed to be detrimental to, or generally contrary to the mandate, interest and welfare of the Provincial Organization; the procedure to determine whether or not the Member be removed from office is as follows:
i) The person making the complaint concerning the conduct of the Member must inform the President in writing. In the case where the complaint is against the President, notice will be sent to the Immediate Past President;
ii) The President shall inform the Member and the other board members within seven (7) days of receiving the complaint;
iii) Within forty-five (45) days of the President receiving the said complaint an emergency meeting of a committee, (herein referred to as "the Committee"), consisting of seven (7) board members: (three (3) of which are Executive, three (3) are randomly picked and one (1) being the choice of the Member). Both the complainant and the Member shall also participate in this emergency meeting;
iv) The Committee members shall appoint a chair from within the Committee;
v) At the said emergency meeting, both sides will be given sufficient time to present their case before the board. After hearing both sides, the Committee shall vote by ballot. The Complainant and the Member shall not vote. In the event of a tie, the Chair shall cast the deciding vote.
(d) Fill any vacancy or vacancies on the Board of Directors for the unexpired term; however, should the office of the First Vice-President become vacant during the first year of the term of office, a First Vice-President shall be elected at the next Provincial Conference.
(e) Ratify the Provincial Representatives to the National Standing Committees of the Canadian Federation of Business and Professional Women's Clubs who have been appointed by the President and Executive Officers in accordance with the Constitution and By-laws of the Canadian Federation of Business and Professional Women's Clubs.

Section 2

(a) The Organization shall pay reasonable out-of-pocket expenses incurred by the Provincial Officers, District Directors and Assistant Directors in performing their duties. In particular, the Organization shall reimburse the Directors for expenses as follows, without limiting the foregoing:
i) Incidental expenses such as postage, telegrams, telephone calls, facsimile transmissions, photocopying and conference calls;
ii) Return transportation not to exceed the cost of available public transportation, plus lower berth on overnight trip, or economy air fare, where more practical:
iii) Accommodations:
· For attendance at the Interim Board of Directors Meeting and Executive Board Meetings, the Directors shall be offered for two days the choice of billeting, the minimum rate for a shared room, and
· For attendance at the Annual Conference and Pre-conference & Post-Conference Meeting of the Board of Directors, the minimum rate for a shared room.
The board member must attend all of the meetings of the board in order to be reimbursed for expenses as set out above.
iv) Travelling expenses of Provincial Officers, District Directors and Assistant District Directors when visiting their Clubs officially. Where it is reasonable to use private automobile, a mileage/kilometre allowance may be charged at a rate to be determined annually by the Provincial Board of Directors;
v) Each District shall pay the registration fee, accommodation and any extra meals for the Provincial Representative, the District Director and Assistant District Director(s) when attending a District meeting.
(b) The Organization shall pay for meals required by Provincial Officers when travelling on official business of the Organization as well as for any luncheon and/or dinner served during the Interim Meeting of the Board of Directors.
(c) The Organization shall pay the Registration fee and any hotel accommodation cost for the Provincial President when attending the Provincial Conference.
(d) The Organization shall pay Convention registration, plus expenses up to Two Hundred and Fifty Dollars ($250) towards each of the Provincial President's and Provincial President Elect's expenses to the National Convention.
