CONSTITUTION AND BY-LAWS - ARTICLE VII
Duties of Officers, District Directors, and Assistant District Directors
Section 1
(a) The President shall be the chief executive officer of the Organization. She shall normally preside at all meetings of the Board of Directors, the Executive Committee, at all Conferences, and other Meetings of the Organization. She shall be responsible to the Board of Directors for the management of the business of the Organization. She shall approve all accounts before they are paid. She shall be responsible for sending 8 to 12 mailings per year to Clubs and Board Members, the dates and number of mailings to be decided at the Post Conference Board Meeting.
(b) Upon confirmation of her election as President, at that Biennial Convention of the Canadian Federation of Business and Professional Women's Clubs which next follows the Conference at which she was elected, she shall assume also the duties set down for each Provincial President in the Constitution and By-laws of the Canadian Federation of Business and Professional Women's Clubs
Section 2
(a) The First Vice-President shall act as administrative assistant to the President and in such other capacities as the President and/or the Board of Directors may deem advisable.
(b) The Vice-Presidents and Immediate Past President shall assist the President.
(c) In particular, and without limiting the generality of the foregoing, the First Vice-President, each Vice-President, and the Immediate Past President shall be appointed the Chair of one of the Standing or Ad Hoc Committees by the Board of Directors. The First Vice-President shall be appointed chair of the Resolutions and By-laws Committee.
(d) There shall be one appointed Standing Committee Chair.
(e) In the absence of or at the request of the President, the First Vice-President shall preside at Meetings of the Board of Directors, or at a Conference, or other Meetings of the Organization.
Section 3
(a) The Treasurer shall have custody of and be accountable for the funds and securities of the Organization. She shall keep full and accurate accounts of receipts and disbursements, and shall deposit all monies and other valuable effects in the name of and to the credit of the Organization in such depositories as may be designated by the Board of Directors from time to time. She shall pay all accounts after they have been approved by the President, and shall issue receipts.
(b) She shall countersign or endorse all cheques, acceptances, obligations, and securities for payment of money by the Organization, together with either the President or the Honourary Secretary, or such other person as the Board of Directors may from time to time authorize. She shall submit a statement of receipts and expenditures, assets and liabilities to every meeting of the Board of Directors, Conference, and to the President, at her request. She shall perform also such other duties as may be determined from time to time by the Board of Directors. She shall furnish a fidelity bond in such sum as the Board of Directors may from time to time determine.
Section 4
(a) The President, First Vice-President, two Vice-Presidents, Treasurer, Honourary Secretary, Editor and the Chair of Young BPW (Provincial representative of Young BPW ) shall take office for a term of two years at the closing of the Biennial Convention of the Canadian Federation of Business and Professional Women's Clubs, at which the election of the President came up for confirmation.
(b) The District Directors and Assistant District Directors shall take office for a term of two years immediately following the District Meeting at which they are elected.
Section 5
(a) The Honourary Secretary shall be appointed by the Board of Directors and shall hold office at the pleasure of the Board.
(b) She shall normally attend all Meetings of the Board of Directors and of the Executive Committee, and all Conferences and Meetings of the Organization. She shall act as clerk thereof, and record all votes and resolutions and minutes of all proceedings thereat. She shall attend to the correspondence as instructed by the President, send out notices and resolutions, and perform such other duties as may be determined by the Board of Directors from time to time.
Section 6
(a) In the event that a District Director and/or Assistant District Director(s) is/are not elected, the Board of Directors shall appoint a District Director and/or Assistant District Director(s) for the said District.
(b) The District Director and the Assistant District Director shall not hold the office for more than two complete years (one term), except in a district with more than one Assistant District Director, in which case an Assistant District Director may serve for two terms.
(c) Each District Director shall act in an advisory capacity to all clubs in her District and as liaison between them and the President without restricting in any way the right of communication between the clubs and the President.
(d) The District Director or an Assistant District Director shall be required to visit each member club in their District at least once a year during their term of office, preferably to attend an executive meeting.
(e) The Assistant District Director(s) shall be responsible to and work in liaison with the District Director.
(f) The District Director is responsible for contacting clubs to obtain sponsorships and advertising for the BPW Ontario Annual Report.
g) The District Director is to receive a report of each club’s achievements annually and include that information in their annual report.
