CONSTITUTION AND BY-LAWS - ARTICLE IV
Directors
Section 1 The Board of Directors shall consist of the President, First Vice-President, Two Vice-Presidents, Immediate Past President, Treasurer, Honourary Secretary, Editor, Six District Directors, Chair of Young BPW committee (or Provincial representative of Young BPW ) and Chairs of Standing Committees, the maximum number not to exceed nineteen.(amended 2004)
Section 2 Only those who are Active members of their club and in good standing shall be eligible to hold office on the Board of Directors.
Section 3 There shall be two Vice-Presidents with no stipulation as to geographical location.
Section 4 There shall be one District Director from each District and one Assistant District Director for every eight clubs, or part thereof. Club President, Secretary or Treasurer shall not serve as a District Director while holding office. If the District Director is unable to attend a meeting of the Board or the Provincial Conference, an Assistant District Director may represent the District Director.
Section 5 Should an officer of the Board of Directors, other than the First Vice-President, be unable to fulfill the duties of the office due to death, illness, or other circumstances, the position shall be deemed vacant, and it shall be the duty of the Board of Directors to appoint a member to complete the unexpired term. Should the office of the First President become vacant during the first year of the two year term of office, the Board of Directors shall call an emergency election at the next Provincial Conference to elect a replacement officer for the balance of the term.
Section 6 The members of the Board of Directors shall not hold the same office on the Board for more than one complete term (2 years), except Vice-Presidents, the Treasurer, and the Editor who may serve two complete terms (4 years).
Section 7 Within 30 days of completing her term of office, each member of the Board of Directors shall forward to her successor all material in connection with her office.
Section 8 In the event of the President being unable to fulfil her responsibilities, it shall be the duty of the First Vice-President to call a meeting of the Board of Directors, at which time Article IV, Section 5 would be implemented by the Board of Directors.
